In general, by submitting poetic works to us and agreeing to the terms and conditions set forth below, you are giving us the nonexclusive right (i.e., you can grant similar rights to others at any time) to use those materials on and as part of our websites (e.g., to include your materials in our database which we make freely available over the World Wide Web). You are also representing to us that, among other things, you have the right to allow us to so use the materials and are agreeing, among other things, to cover the costs of our defense if someone claims that we do not have the right to so use the materials (or that you do not have the right to allow us to so use the materials). Our right to use your materials in this manner will continue until you choose to remove your materials, or any of them, from our website, and notify us in writing that you want to terminae this agreement. You are agreeing that we are not responsible for your work while it is on our website, including protecting it from other people, and that we are not responsible for removing it from our website. This means that if someone else gets your materials from our website and publishes, broadcasts, faxes, mails, duplicates, photocopies, uploads, downloads, transmits, distributes, or redistributes the material that we are not responsible for this activity and that you will pursue that other person and not Poetry Realm to stop such use of your materials. Despite the foregoing sentence, you are also agreeing that we can remove your materials, or any of them, from our website at any time or from time to time without notice to you and without reason. You are agreeing that we have the right to use your name and likeness on our websites solely in connection with the promotion and marketing of our business (e.g., we can refer to you as a member of PoetryRealm.com) until you notify us that you wish to terminate this agreement and you have removed all of your materials from our website. In the event that we have sublicensed your materials to another website, it is your responsibility to have your materials removed frm that website and you will not hold us responsible or liable if the other website refuses to remove your materials. We reserve the right to make changes to this agreement in the future, but any changes would not apply to you unless you accept those changed terms. AGREEMENT This agreement ("Agreement") is a legal agreement between you, either an individual Author or the legal authorized representative of a group authors ("Author"), and Pyro Internet, an Ohio-based company ("Poetry Realm"), regarding uploading certain of Author's materials (the “Author Materials” defined below) to the PoetryRealm.com website or any successor(s) thereto and/or assigns thereof (the "Poetry Realm Site(s)") and Poetry Realm's use of such materials. If Author is agreeing on behalf of a group Author or a group of authors to be bound by the terms of this Agreement, each reference to "Author" in this Agreement refers to each member of the group or the group as a whole, as applicable. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree (and ratify past submissions) as follows: Term The term ("Term") of this Agreement shall commence on the date that the "Author Materials" (defined below) are initially uploaded to Poetry Realm and shall continue thereafter until either Author or Poetry Realm terminates this Agreement in writing, with or without cause. To the extent this Agreement is terminated by Author, the rights granted hereunder shall terminate only after Author has removed all of Author's Materials from the Poetry Realm Site(s), and Poetry Realm has received notice of such removal. If this Agreement is terminated by Poetry Realm, this Agreement will terminate upon Poetry Realm 's removal of Author's materials from the Poetry Realm website. In connection with any such termination of this Agreement, the parties agree to cooperate in providing an orderly termination of their relations. Ownership Author shall at all times retain all right, title and interest in and to the Author Materials provided by Author hereunder (including, without limitation, the copyrights therein and thereto), subject to the non-exclusive rights granted to Poetry Realm under this Agreement. Author is free to grant similar rights to others during and after the Term of this Agreement. For the avoidance of doubt, when Author uploads Author Materials to the Poetry Realm Site(s), Author acknowledges that third parties may use the Author Materials as described herein. License to Use Author Materials Author hereby grants to Poetry Realm a worldwide, royalty-free, non-exclusive license to do the following things during the Term: to prepare and encode Author Materials in any format and by any means now known or hereafter devised; to display, copy, reproduce, exhibit, publicly perform, broadcast, rebroadcast, transmit, retransmit, distribute through any electronic means (including analog and digital), and electronically publish any or all of the Author Materials, including any portion thereof, and to include them in compilations for such purposes, by any and all means and media now known or hereafter devised (for avoidance of doubt, the rights granted to Poetry Realm hereunder include the rights to make Author Materials available on Poetry Realm Site(s), third-party websites and electronic devices); to modify, adapt, change or otherwise alter the Author Materials and use the Author Materials as described in Section 3(b); and the right to sublicense to any third party any of the foregoing rights in the Author Materials, or any part or element thereof, subject to the terms and conditions of this Agreement. Author hereby disclaims any and all right, title, or interest in any and all material with which Author Materials may be combined or into which all or any portion of Author Materials may be incorporated. As used in this Agreement, the term "Author Materials" means Author's name(s) (including professional names), trademarks, trade names, likenesses, photographs, biographical materials, artwork, liner notes, and other graphical or textual materials that Author uploads to Poetry Realm. Name and Likeness Author hereby grants to Poetry Realm : a perpetual, worldwide, royalty-free, non-exclusive license to use Author's name(s), group name, photograph and/or likeness(es) and biographical materials in connection with the distribution, exploitation, promotion, marketing and advertising of the Author Materials, and the Poetry Realm Site(s)as described hereunder, during the Term; Author also agrees not to assert any privacy, publicity, moral or similar rights held by Author (and on behalf any other person(s) whose name(s), photographs and/or likeness(es) and/or performances are embodied in the Author Materials, Author agrees that such persons shall not assert of any privacy, publicity, moral or similar rights) under the laws of the United States and any other country in connection with the exploitation of such materials as described hereunder; and, To the extent that the Author Materials contain the name(s), group name, photograph and/or likeness(es) and biographical materials of any other person, Author hereby grants to Poetry Realm a perpetual, worldwide, royalty-free, non-exclusive license to use the foregoing in connection with the distribution, exploitation, promotion, marketing and advertising of the Author Materials, as described hereunder, during the Term. Payment Unless otherwise agreed between Author and Poetry Realm in a writing signed by both parties, the license granted to Poetry Realm pursuant to this Agreement shall be royalty-free. Representations and Warranties Author represents and warrants that: Author has the full right and power to enter into and perform this Agreement and to grant Poetry Realm all rights to use the Author Materials as contemplated in this Agreement, including, without limitation, the license grants in Sections 3 and 4, Author has secured all necessary third-party consents, rights, licenses and permissions, if any, required in order for Author to enter into and perform this Agreement and to grant Poetry Realm all rights to use the Author Materials as contemplated in this Agreement (including, without limitation, consents and permissions from owners of any elements that are used in the Author Materials), the Author Materials (and Poetry Realm's use thereof as contemplated under this Agreement) do not and will not infringe on any rights of any third party, including any trademark, copyright, patent, trade secret, right of privacy or publicity or moral rights of any third party, all information that Author has provided or will provide to Poetry Realm is true and complete, the Author Materials do not and will not violate any law, statute, ordinance or regulation, the Author Materials do not and will not be defamatory, libelous, threatening, pornographic, obscene, harmful to minors, violations of child pornography or child sexual exploitation laws, the Author Materials do not and will not contain any viruses or other programming routines that may detrimentally interfere with computer systems or data, whether those of Poetry Realm or any third party, and if Author or any member of Author's group is a minor, Author hereby warrants that Author has the legal right to execute this Agreement on behalf of the minor Author and guarantee such person's performance of the terms of this Agreement. These warranties shall survive any termination of this Agreement. Third Party Payments Author shall be responsible for all licensing, reporting and payment obligations of any kind to third parties in connection with the Author Materials. Indemnity Author agrees to defend, indemnify, reimburse and hold Poetry Realm and its parent, subsidiary and affiliated entities, and its and their members, managers, officers, directors, representatives, employees, agents, successors, designees, licensees, sublicensees and assigns harmless from and against any and all liability, loss, damages, judgments, costs and expenses (including reasonable attorney's fees, costs and expenses and court costs) arising out of or related to: Author's use of the Poetry Realm Site(s); any breach or alleged breach of Author's representations and warranties and/or any breach, alleged breach or violation of the notices, terms and conditions hereof; and Author's violation or alleged or threatened violation of any rights of a third party, including, without limitation, any trademark, copyright, patent, trade secret, right of privacy or publicity or moral rights of any third party, arising from the submission and/or use of Author Materials as contemplated hereunder. Poetry Realm's Performance Author acknowledges and agrees that the operation of the Poetry Realm Site(s) may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors and Poetry Realm shall not be responsible to Author or others for any such interruptions, errors or problems or an outright discontinuance of the Poetry Realm service. There are no assurances whatsoever that any of the Author Materials or any part or element thereof shall actually be utilized on the Poetry Realm Site or if so utilized continue to be available for any particular time. Poetry Realm has the right, in its sole and absolute discretion, to remove from the Poetry Realm Site(s) at any time the Author Materials or any part thereof and/or to revoke any sublicense granted by Poetry Realm to any affiliate or unaffiliated third party. Notwithstanding the foregoing, Poetry Realm does not control the content of the Author Materials and does not have ny obligation to monitor such content for any purpose. Author acknowledges that Author is solely responsible for all content submitted to the Poetry Realm Site(s). The Poetry Realm Site may be discontinued at any time, with or without reason. No Warranty TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POETRY REALM DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO UNINTERRUPTED OR CONTINUOUS AVAILABILITY OF THE POETRY REALM SITE, AND IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT WITH RESPECT TO THE POETRY REALM SITE AND ANY SERVICES PROVIDED BY POETRY REALM HEREUNDER. IN ADDITION, ALTHOUGH POETRY REALM INTENDS TO TAKE REASONABLE STEPS TO PREVENT THE INTRODUCTION OF VIRUSES OR OTHER DESTRUCTIVE MATERIALS TO THE POETRY REALM SITE(S), AND WHETHER OR NOT POETRY REALM IMPLEMENTS THE AFOREMENTIONED REASONABLE PROTECTIONS, POETRY REALM DOES NOT WARRANT THAT THE POETRY REALM SITE(S), ANY PART THEREOF, OR ANY INFORMATION OR OTHER MATERIAL ACCESSIBLE THROUGH THE POETRY REALM SITE(S) IS FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER HARMFUL COMPONENTS. No Liability for Third Party Use POETRY REALM DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY THIRD-PARTY USE OF THE AUTHOR MATERIALS MADE AVAILABLE ON THE POETRY REALM WEBSITE BY THE AUTHOR PURSUANT TO THE TERMS OF THIS AGREEMENT. AUTHOR SHALL BE SOLELY RESPONSIBLE FOR SEEKING RELIEF FOR ANY UNAUTHORIZED USE OF AUTHOR MATERIALS BY A THIRD-PARTY, AND NOT FROM POETRY REALM. THIS MEANS, AMONG OTHER THINGS, THAT IF ANOTHER PERSON OBTAINS AUTHOR MATERIALS FROM POETRY REALM (WHETHER OR NOT WITH POETRY REALM'S PERMISSION), AND USES THOSE MATERIALS IN A WAY NOT AUTHORIZED PURSUANT TO THE LICENSES GRANTED HEREUNDER, AUTHOR WILL SEEK REDRESS FROM THE OTHER PERSON AND NOT FROM POETRY REALM, AND THAT AUTHOR WILL NOT HOLD POETRY REALM RESPONSIBLE OR LIABLE FOR SUCH UNAUTHORIZED USE. Exclusion of Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT (INCLUDING NEGLIGENCE) SHALL POETRY REALM, ITS OFFICERS, DIRECTORS, MEMBERS, PARENTS, AFFILIATES, SUBSIDIARIES, LICENSEES, ASSIGNS, SUCCESSORS, AGENTS, REPRESENTATIVES, EMPLOYEES OR LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES ARISING OUT OF AN ACTION UNDER CONTRACT, NEGLIGENCE OR ANY OTHER THEORY AND DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS, INCIDENTIAL DAMAGES, CONSEQUENTIAL DAMAGES, PUNITIVE DAMAGES, EXEMPLARY DAMAGES), WHETHER OR NOT POETRY REALM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR PERFORMANCE OF THE POETRY REALM SITE(S). IN NO EVENT SHALL POETRY REALM’S TOTAL LIABILITY TO AUTHOR UNDER THIS AGREEMENT FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY EXCEED $5. THE PARTIES ACKNOWLEDGE AND AGREE THAT POETR REALM HAS ENTERED INTO THIS AGREEMENT IN RELIANCE ON THE LIMITATIONS OF LIABILITY SPECIFIED HEREIN, WHICH ALLOCATE THE RISK BETWEEN AUTHOR AND POETRY REALM, AND FORM THE BASIS OF THE BARGAIN BETWEEN THE PARTIES.. Copyright and Trademark Notices Poetry Realm, the Poetry Realm logos, and the layout and design of the Poetry Realm Site(s), among other marks that may appear on the Poetry Realm Site(s) are trademarks of Pyro Internet. (the "Poetry Realm Marks"). Other trademarks and service marks on the Poetry Realm Site(s) may be the property of the advertisers, content partners and/or providers, or other third parties. Author may not use any of the Poetry Realm Marks without Poetry Realm's prior written permission, and Author may not use any third-party marks without the third party's prior written permission. Miscellaneous Governing Law; Jurisdiction. THIS AGREEMENT SHALL BE GOVERNED IN ALL RESPECTS BY THE LAWS OF THE STATE OF OHIO WITHOUT REGARD TO ITS OR ANY OTHER JURISDICTION'S CONFLICT OF LAWS PRINCIPLES. Assignment. Poetry Realm shall have the right to assign this Agreement in whole or in part to any person or business entity. Author may not assign Author’s rights or delegate Author’s obligations under this Agreement without the prior written consent of Poetry Realm. Entire Agreement. This Agreement sets forth the entire understanding and agreement of Author and Poetry Realm as to the subject matter hereof and supersedes all prior proposals, discussions or agreements (oral and written) with respect to such subject matter. Modification. Poetry Realm reserves the right to amend the terms of this Agreement from time to time in its sole discretion. Poetry Realm shall notify Author of any material changes to this Agreement by sending an email to the address listed in Author’s account. If Author continues to upload Author materials after being notified of the changes to the Agreement, Author will be deemed to have accepted those changes and the new terms of the Agreement shall govern all prior and future submissions of Author Materials. If Author does not accept the new terms of the Agreement, Author’s sole and exclusive remedy shall be to terminate this Agreement. Otherwise, this Agreement may be changed only by a writing signed by both parties that specifically refers to the parties' intent to amend this Agreement. Survival. The provisions of Sections 1, 3(e), 4(b) 5, 6, 7, 8, 10, 11, 12, 13, and 14 shall survive any termination of this Agreement. In addition, any sublicenses granted to third parties for the display of Author Materials on electronic devices pursuant to Section 3 shall survive any termination of this Agreement.
